These Terms of Service ("Terms") govern access to and use of the Tower web application, dashboard, APIs, and related services (collectively, the "Service") operated by Codalyn ("Codalyn," "we," "us," or "our") at https://tower.codalyn.app and our marketing site at https://codalyn.app.
By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Codalyn provides tools for Webflow professionals and teams, including workspace management, Webflow Data API proxying, image optimization, CMS workflows, and the Beacon browser extension (when used with an authorized Tower account). Features may change over time. We may add, modify, or discontinue features with reasonable notice when practicable.
2. Eligibility and accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. You are responsible for:
- providing accurate registration information and keeping it current;
- maintaining the confidentiality of your credentials and session;
- all activity under your account; and
- ensuring anyone you invite to a workspace complies with these Terms.
You must notify us promptly at support@codalyn.app if you suspect unauthorized access to your account.
3. Workspaces and team access
The Service supports individual accounts and shared workspaces. Workspace owners and administrators control membership, roles, and billing where applicable. You grant Codalyn permission to process data you submit to the Service on behalf of you and your workspace members, solely to provide and improve the Service.
4. Subscriptions, billing, and usage limits
Certain features require a paid subscription processed through Stripe. By starting a subscription, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel in accordance with the Service.
- Plans and pricing are presented at checkout or in the Service and may change for new purchases with notice.
- Usage limits (for example API proxy requests, CMS writes, or image optimization credits) apply per plan and billing period as described in the Service.
- Taxes are your responsibility except where we are required to collect them.
- Refunds are handled according to applicable law and our billing policies shown at purchase; unless required by law, fees are non-refundable once a billing period has started.
You may manage or cancel subscriptions through the billing portal where available. Downgrades or cancellations take effect at the end of the current billing period unless stated otherwise.
5. Acceptable use
You agree not to, and not to permit others to:
- violate any law, regulation, or third-party rights;
- access the Service or connected systems without authorization;
- interfere with or disrupt the Service, including by excessive automated requests beyond fair use or documented limits;
- reverse engineer, decompile, or attempt to extract source code except where permitted by law;
- upload malware or content that is unlawful, infringing, or harmful;
- use the Service to build a competing product using non-public aspects of the Service; or
- misrepresent your affiliation with Codalyn or Webflow.
We may suspend or terminate access for conduct that we reasonably believe violates these Terms or poses risk to the Service or others.
6. Third-party services
The Service integrates with third parties including Webflow, Stripe, email providers, analytics, and cloud infrastructure. Your use of those services is subject to their terms and policies. Codalyn is not responsible for third-party services outside our reasonable control. Connecting a Webflow account grants Codalyn permission to access Webflow data on your behalf as needed to provide the Service.
7. Your content and data
You retain ownership of content and data you submit ("Customer Content"). You grant Codalyn a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to operate, secure, and improve the Service.
You represent that you have all rights necessary to submit Customer Content and that doing so does not violate these Terms or applicable law.
8. Intellectual property
Codalyn and its licensors own the Service, software, documentation, branding, and all related intellectual property, except for Customer Content. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service in accordance with these Terms.
9. Feedback
If you provide suggestions or feedback, you grant Codalyn a perpetual, irrevocable, royalty-free license to use it without restriction or compensation.
10. Confidentiality and security
We implement reasonable administrative, technical, and organizational measures designed to protect the Service. No system is perfectly secure. You are responsible for securing devices and credentials used to access the Service.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODALYN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODALYN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID CODALYN FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
13. Indemnification
You will defend, indemnify, and hold harmless Codalyn from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law.
14. Term and termination
These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or if we discontinue the Service with reasonable notice where practicable.
Upon termination, your right to access the Service ends. Sections that by their nature should survive (including payment obligations, disclaimers, limitation of liability, and indemnification) will survive.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms and revise the "Last updated" date. Continued use after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence apply.
Before filing a claim, you agree to contact us at support@codalyn.app and attempt to resolve the dispute informally within thirty (30) days.
17. General
- Entire agreement. These Terms, together with our Privacy Policy and any order or plan description presented in the Service, form the entire agreement regarding the Service.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is unenforceable, the remaining provisions remain in effect.
- No waiver. Failure to enforce a provision is not a waiver.
